Terms of Use

By registering for, accessing, or using the FarmOpt platform, you confirm that you have read and agree to be bound by these Terms and our Privacy Policy; that you are legally capable of entering into a binding agreement; and that if using FarmOpt on behalf of an organisation, you have authority to bind that organisation. These terms apply to all users and may be updated in accordance with Section 12.

FarmOpt is a digital farm management platform for smallholder and commercial farmers across Africa and Europe, operated by:

FarmOpt provides farm record-keeping, crop and livestock management, a marketplace, a community forum, and AI-powered agronomic guidance.

To access FarmOpt you must register. By registering you agree to:

• Age: you must be at least 18 years of age.
• Accurate information: provide accurate, current, and complete information. False information is a breach.
• One account: each individual or organisation may hold only one active account. Duplicate accounts to circumvent bans are prohibited.
• Account security: keep your credentials confidential and report suspected unauthorised access to change@expairience.de immediately.
• No account sharing: accounts may not be shared or transferred without prior written consent.

expAIrience GmbH grants you a limited, non-exclusive, non-transferable, revocable licence to use FarmOpt for:

• Farm Management: recording crop cycles, livestock health, input usage, yield data, and accessing your farm analytics dashboard.
• Marketplace: listing or purchasing agricultural produce, inputs, or equipment in good faith.
• Community Forum: engaging constructively with farmers, agronomists, and other agricultural stakeholders.
• AI Chat and Guidance: using the AI assistant for general agronomic information and crop or pest guidance as a reference tool.

All use must comply with applicable law. Commercial resale or sub-licensing is not permitted without express written agreement.

You may not use FarmOpt for the following — violations may result in account suspension, termination, or legal action:

• Spam: sending bulk unsolicited messages or promotional content to other users.
• Fake or fraudulent listings: creating listings for goods you do not own or intend to sell, or misrepresenting product quality, quantity, or origin.
• Fraud and financial crime: facilitating payment fraud, money laundering, advance-fee scams, or other financial crime.
• Harassment and harmful content: posting defamatory, abusive, threatening, discriminatory, or sexually explicit content.
• Automated scraping: using bots, crawlers, or automated means to extract data without prior written consent.
• Security attacks: attempting to probe or circumvent authentication or security controls.
• Intellectual property infringement: uploading content that infringes third-party rights.
• Circumventing restrictions: creating accounts to evade bans or otherwise circumventing platform rules.

Seller Responsibilities

• Accurately describe goods including condition, quantity, unit, price, and location.
• You are solely responsible for the quality, safety, and legality of goods you list.
• Honour confirmed transactions and communicate promptly with buyers.
• Listings for prohibited goods (e.g., unregistered pesticides, counterfeit seeds) will be removed.

Buyer Responsibilities

• Review listings carefully and conduct due diligence before purchasing.
• Complete payment per agreed terms.
• Report fraudulent listings to FarmOpt support promptly.

User-Generated Content

You are solely responsible for content you post. By posting, you grant expAIrience GmbH a non-exclusive, royalty-free licence to display and moderate that content within the platform. FarmOpt may remove content that violates these terms without notice.

AI Assistant — Informational Only

FarmOpt Platform

The FarmOpt platform — including its software, source code, design, branding, logos, trademarks, and databases — is owned by or licensed to expAIrience GmbH and protected by intellectual property law. You may not copy, reproduce, distribute, or create derivative works without prior written consent.

Your Data

You retain full ownership of data you enter into FarmOpt. By using the platform, you grant expAIrience GmbH a limited licence to process, store, and display your data solely to provide the service. We will not sell your data or use it for unrelated commercial purposes. You may export or delete your data as described in our Privacy Policy.

Feedback

Ideas and suggestions you submit grant expAIrience GmbH a royalty-free, perpetual licence to use that feedback without further obligation.

FarmOpt is provided on an as-is and as-available basis without warranties of any kind. To the fullest extent permitted by law, expAIrience GmbH disclaims all warranties including: implied warranties of merchantability and fitness for a particular purpose; accuracy and completeness of information or AI-generated content; uninterrupted or error-free operation (no uptime commitment is made); and any specific agricultural outcomes. Nothing in this clause limits statutory consumer rights under applicable law.

To the fullest extent permitted by applicable law:

• Cap on liability: our total aggregate liability to you shall not exceed the fees you paid to FarmOpt in the 12 months immediately preceding the claim, or €100 (whichever is greater).
• Exclusion of consequential losses: we are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, goodwill, or business interruption.
• No agricultural loss claims: we expressly exclude liability for agricultural losses — including crop failure, livestock death, soil damage, or loss of farming income — arising from AI recommendations, platform data, or any platform feature.
• Third-party content and transactions: we are not liable for losses from marketplace transactions, user-posted content, or linked third-party services.

Termination by You

You may delete your account at any time from account settings. Your data will be handled per our Privacy Policy (Section 6). Deletion does not automatically cancel paid subscriptions; cancel first to avoid further billing.

Termination by FarmOpt

We may suspend or terminate your account, with or without notice, if you breach these Terms, we suspect fraudulent or illegal activity, continued access poses a security risk, or we are required to do so by law. Where feasible, we will give advance notice. Sections 8, 9, 10, and 12 survive termination.

These Terms are governed by the laws of the Federal Republic of Germany, without regard to conflict-of-law provisions. Disputes shall be subject to the exclusive jurisdiction of the courts of Berlin, Germany, except that we may seek injunctive relief in any competent court to protect intellectual property or confidential information.

EU Consumer Rights

EU consumers retain mandatory consumer protection rights under the law of their country of residence. The EU ODR platform is at ec.europa.eu/consumers/odr. Our ODR email is change@expairience.de. We do not participate in consumer arbitration procedures.

African Statutory Rights

For users in Nigeria, Kenya, Ghana, Rwanda, South Africa, and other African jurisdictions, mandatory protections under applicable consumer protection and data protection law are preserved in full and not affected by the choice of German law.
